Terms and conditions for using VeriSight Analytics™ services

1. Agreement to Terms

By accessing or using VeriSight Analytics™ services ("Services"), including AdmitScore™, the Verisight website, and related pilot workflows, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

VeriSight Analytics™ provides admissions intelligence software for skilled nursing facilities, including:

  • AdmitScore™: referral packet review, payer risk, authorization readiness, documentation gap, and financial fit support
  • Future modules: roadmap workflows may support documentation confidence and reimbursement review support, but are not part of the current public pilot unless separately agreed

3. Account Registration

To access certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account

4. Pilot Pricing and Payment

4.1 Pricing

AdmitScore pilot pricing is request-based and scoped by facility count, referral packet volume, implementation support, and workflow needs. Public website references to pilot pricing are informational only and do not create a binding offer.

4.2 Billing

  • Payment terms are defined in the applicable pilot agreement, order form, or statement of work
  • Internal beta, family, or test pricing is not public market pricing
  • Any changes to pricing or scope must be agreed through the applicable customer agreement

4.3 Product Demos

We offer product demonstrations using synthetic data. Demo accounts do not process real patient data. A signed Business Associate Agreement (BAA) is required before processing any protected health information (PHI).

4.4 No Public Guarantee

AdmitScore outputs are review-support and planning aids. Verisight does not guarantee payer approval, reimbursement, denial prevention, admission outcomes, or financial results.

5. Use Restrictions

You agree not to:

  • Use the Services for any unlawful purpose
  • Violate any applicable laws or regulations, including HIPAA
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Reverse engineer or decompile any software
  • Share your account credentials with others
  • Use the Services to transmit malicious code
  • Resell or redistribute the Services without authorization

6. Healthcare Data Responsibilities

6.1 PHI Workflows

For customers who may process Protected Health Information (PHI) through approved Services:

  • A Business Associate Agreement (BAA) must be executed before processing real PHI
  • You are responsible for ensuring your use complies with applicable laws, payer rules, and facility policies
  • Public website forms must not be used to submit PHI, patient records, or confidential clinical information

6.2 Professional Responsibility

Our Services provide AI-powered suggestions and analysis. You are responsible for:

  • Reviewing all AI-generated suggestions before use
  • Making final clinical and business decisions
  • Ensuring compliance with applicable regulations
  • Training staff on proper use of the Services

7. Intellectual Property

VeriSight Analytics™ retains all rights to the Services, including:

  • Software, algorithms, and AI models
  • Trademarks and service marks
  • Documentation and training materials
  • Website content and design

You retain ownership of your data and receive a limited license to use our Services.

AdmitScore™ and VeriSight Analytics™ are trademarks of VeriSight Analytics.

8. Data Ownership and Privacy

You own all data you upload to our Services. Our use of your data is governed by our Privacy Policy. Key points:

  • We do not sell your data
  • We use your data only to provide and improve our Services
  • PHI is processed in accordance with HIPAA and your BAA
  • You can request deletion of your data at any time

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with notice
  • Experience occasional outages due to circumstances beyond our control
  • Modify or discontinue Services with reasonable notice

10. Termination

10.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your access if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Use the Services in a manner that harms other users

10.3 Effect of Termination

Upon termination, your right to use the Services ends. We will provide reasonable opportunity to export your data.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS

Our AI suggestions are tools to assist decision-making, not replacements for professional judgment.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERISIGHT ANALYTICS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES EXCEEDING THE FEES PAID IN THE PRIOR 12 MONTHS

13. Indemnification

You agree to indemnify and hold harmless VeriSight Analytics from claims arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights

14. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dane County, Wisconsin.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Continued use after changes constitutes acceptance.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and VeriSight Analytics
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent
