1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you and VeriSight Analytics, LLC, an Illinois limited liability company based in Milwaukee, Wisconsin ("VeriSight," "we," "us," or "our"). They govern your use of this website, verisightanalytics.com (the "website"). By using the website, you agree to these Terms. If you do not agree, do not use the website.

2. The Website

The website provides information about VeriSight and AdmitScore™, admissions review software for skilled nursing facilities. Nothing on the website is an offer to provide services. We provide services only under a separate written agreement.

3. Login Credentials

The website does not offer account registration. If we give you login credentials for a VeriSight service under a separate agreement, keep them confidential and tell us promptly at info@verisightanalytics.com if you think they have been misused.

4. Pricing, Demonstrations, and Outcomes

4.1 Pricing

The website does not sell anything or accept payments. Descriptions of pricing on the website are general information, not an offer. Fees, billing, and cancellation terms apply only as set out in a signed agreement.

4.2 Demonstrations

Product demonstrations and examples we provide use synthetic (made-up) data, not real patient information. We do not process protected health information (PHI) for anyone without a signed Business Associate Agreement (BAA).

4.3 No Public Guarantee

AdmitScore outputs are review-support and planning aids. VeriSight does not guarantee payer approval, reimbursement, denial prevention, admission outcomes, or financial results.

5. Use Restrictions

You agree not to:

  • Use the website for any unlawful purpose
  • Violate any applicable laws or regulations, including HIPAA
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the website
  • Reverse engineer or decompile any software
  • Use the website to transmit malicious code
  • Resell or redistribute the website or its content without authorization

6. Healthcare Data Responsibilities

6.1 PHI Workflows

For customers who may process Protected Health Information (PHI) through VeriSight services under a separate agreement:

  • A Business Associate Agreement (BAA) must be executed before processing real PHI
  • You are responsible for ensuring your use complies with applicable laws, payer rules, and facility policies
  • Public website forms must not be used to submit PHI, patient records, or confidential clinical information

6.2 Decision Support, Not Clinical Judgment

AdmitScore™ output and any other AI-generated output from VeriSight is decision support. It is not clinical judgment, medical advice, or a payer, coverage, or admission decision, and it can be incomplete or wrong. Treat each finding as a possible risk or gap that needs review. You are responsible for:

  • Verifying each output against the source records before relying on it
  • Making all final clinical, admission, and business decisions through qualified staff
  • Ensuring compliance with applicable regulations
  • Training staff on proper use of VeriSight services

7. Intellectual Property

The website and its content, including its software and documentation, are owned by VeriSight Analytics, LLC or its licensors. You may use the website for your own informational purposes, subject to these Terms.

AdmitScore™ and VeriSight Analytics™ are trademarks of VeriSight Analytics, LLC.

8. Your Information

Our Privacy Policy describes how we handle personal information collected through the website. Customer data processed through AdmitScore™ or other services is governed by the applicable customer agreement and Business Associate Agreement, including how it may be used, kept, returned, or deleted.

9. Website Availability

We try to keep the website available but do not guarantee uninterrupted access. We may change, suspend, or discontinue any part of the website at any time.

10. Termination

You may stop using the website at any time. We may suspend or end your access to the website if you violate these Terms. If you have a separate agreement with us, that agreement governs termination of the services it covers, including any return of your data.

11. Disclaimers

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS

Information on the website, including sample reports, calculators, and estimates, is general information. It is not medical, legal, billing, or reimbursement advice, and it does not replace professional or clinical judgment. Estimates are illustrations, not promises of results. Any warranties for services provided under a separate agreement are set out in that agreement.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • VERISIGHT ANALYTICS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE WEBSITE; AND
  • OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

This section does not limit liability that cannot be limited under applicable law. Liability for services provided under a separate agreement is governed by that agreement.

13. Indemnification

You agree to indemnify and hold harmless VeriSight Analytics, LLC from claims arising from:

  • Your use of the website
  • Your violation of these Terms
  • Your violation of any third-party rights

14. Governing Law and Venue

Wisconsin law governs these Terms, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the website must be brought only in the state courts located in Milwaukee County, Wisconsin, or in the United States District Court for the Eastern District of Wisconsin, and you and we consent to the jurisdiction of those courts. If you have a separate agreement with us, its dispute terms control.

15. Changes to Terms

We may update these Terms. We will post the updated Terms on this page and update the "Last Updated" date. Changes apply to your use of the website from the date they are posted. If you have a separate written agreement with us, changes to these Terms do not change that agreement.

16. General Provisions

  • Other Agreements: If you have signed a separate agreement with us, such as a pilot agreement, order form, or Business Associate Agreement, that agreement governs the services it covers and controls if it conflicts with these Terms. Otherwise, these Terms and our Privacy Policy are the entire agreement between you and us about the website.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent
